1. Acceptance of Terms

By accessing our website (omnysync.com) or contracting our engineering and design services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services or website.

2. Professional Services & Scoping

OMNYSYNC provides custom AI automation, enterprise resource planning (ERP) systems, bespoke software development, and web engineering services. All engagements are governed by mutual statements of work (SOW) outlining project scope, deliverables, milestone schedules, and acceptance criteria.

3. Intellectual Property Rights

Unless otherwise specified in a custom Master Services Agreement:

• Client Deliverables: Upon receipt of full payment for contracted milestones, ownership of custom codebase and client-specific workflows transfers to the client.
• OMNYSYNC Core Frameworks: Pre-existing libraries, proprietary workflow connectors, and boilerplate modules remain the intellectual property of OMNYSYNC, licensed perpetually to the client for operating their custom system.

4. AI Automated Systems & SLAs

AI voice agents and SMS workflows operate in conjunction with third-party cloud telecommunications and LLM APIs (e.g. OpenAI, Anthropic, Twilio). While we design systems for maximum reliability and fault tolerance, uptime and latency are partially contingent on underlying provider status.

5. Limitation of Liability

To the fullest extent permitted by law, OMNYSYNC shall not be liable for any indirect, incidental, or consequential damages resulting from downtime, telecommunication carrier blocks, or business disruption outside our direct reasonable control.
